Job Title: Associate Attorney - Commercial, Business, Finance & Real Estate

We are seeking an ambitious and highly motivated individual to join our team as an Associate Attorney to provide legal support to firm partners who have responsibility over commercial business, finance and real estate transactions. The ideal candidate will be up and coming, graduating in May 2025 with their J.D. from an accredited law school and the ability to pass the Maryland State Bar. The position involves displaying initiative, good judgment, professionalism, follow-through on different assignments and the ability to work independently and meet deadlines with a keen sense of detail.

Examples of the Transactions We Work On:

  • Represented a real estate investment company in acquiring a portfolio of apartment buildings through a series of transactions with an aggregate value of more than $150,000,000.
  • Represented a regional bank in making a $28,560,000 loan to an international food company.
  • Represented a developer and restaurant group in development of a $4,000,000 restaurant located in a marquis building in downtown Baltimore.
  • Represented the seller in the sale of a $7,000,000 contractor business to a large private equity firm.

Job Duties:

  • Represent the firm and provide expert legal guidance on a variety of real estate matters, including zoning/land use, real estate transactions, drafting/negotiating agreements of sale, settlements, title issues, litigation, easements, boundary line, co-owner disputes, foreclosure, and condemnations/eminent domain.
  • Provide legal advice related to land acquisition and development, including drafting contracts and related documents, commercial real estate loan transactions representing both lenders and borrowers, commercial office and retail leasing representing both landlords and tenants, and real estate development.
  • Prepare and format initial drafts of contracts, legal research and correspondence.
  • Assist in the preparation of loan documents, purchase agreements, deeds, and other conveyance documents, easements, general agreements and contracts.
  • Assist with the closings of mergers and acquisitions and other business transactions.
  • Apply analytical skills to identify and assist in resolving issues; proactively suggest appropriate solutions and recommendations to enhance final work product.
  • Maintain corporate client records, files and policies.
  • Review title reports, surveys and organizational documents.
  • Prepare corporate documents for entity formation of corporations, partnerships and limited liability companies.
  • Conduct legal research. Analyze and compile data and information and write reports regarding findings.
  • Engage in direct communication with clients with respect to client intake and information gathering.
  • Draft engagement letters and assist with client invoicing and expense recovery.
  • Manage and organize client files in electronic database and paper / original file system from opening through closing of files.
  • Provide legal research, drafting and reviewing support.
  • Complete special projects, and other related duties as assigned.
